1. Service Agreement
DigiFlare provides digital solutions, software development, website design, branding,
app solutions, and related technology services based on the scope, timeline, and
deliverables agreed in writing between the company and the client. All work is executed
in good faith and in line with the approved project requirements.
2. Project Scope and Deliverables
The final scope of work, milestones, turnaround time, and required approvals are defined
during the proposal and onboarding stage. Any additional requests beyond the approved
scope may be charged separately and may affect delivery dates. Clients are expected to
review deliverables promptly and provide clear feedback to avoid delays.
3. Client Responsibilities
Clients are expected to provide timely feedback, necessary content, approvals, access
credentials, and required assets to ensure smooth execution. Delays in communication,
content submission, or access may affect schedules and project completion timelines.
4. Payments and Refunds
Project fees, deposits, installment schedules, and payment milestones are agreed before
work begins. Unpaid balances may result in delayed delivery, suspension of services, or
withholding of final project assets. DigiFlare reserves the right to clarify pricing for
changes requested after approval of the original scope.
5. Intellectual Property
Final deliverables are transferred to the client after all agreed payments are completed
unless otherwise stated in a written contract. DigiFlare retains ownership of internal
tools, templates, frameworks, and general methodologies used in the development process.
Client content, branding assets, and project-specific information remain the property of
the client where applicable.
6. Confidentiality
Both parties agree to keep confidential information private and not disclose it to third
parties without prior written consent, except where disclosure is required by law or
necessary to perform the agreed project. DigiFlare will use reasonable care to protect
confidential materials provided by the client.
7. Limitation of Liability
DigiFlare aims to provide high-quality services and timely delivery, but we are not liable
for indirect, incidental, consequential, or punitive damages arising from project delays,
third-party integrations, force majeure events, or other issues beyond our reasonable
control.
8. Termination and Updates
Either party may terminate a project in accordance with the signed agreement or written
notice if material obligations are not met. These terms may be revised from time to time.
Continued use of our services after changes are communicated indicates acceptance of the
updated agreement.
